Confidentiality terms
Draft for attorney review before launch. Last updated October 2026.
By requesting access to a deal on DealSwirl, you ("Recipient") agree to the following for the benefit of the business and its owners ("Disclosing Party").
1. Confidential information
Everything you receive about the business beyond its public anonymous teaser, including its identity, financials, documents, employees, customers and the fact that it is considering a transaction, is confidential.
2. Use
You will use confidential information only to evaluate a possible transaction with the business, and share it only with your partners, employees, lenders and advisors who need it for that purpose and who are bound to keep it confidential. You are responsible for their compliance.
3. No contact
You will not contact the business's employees, customers, suppliers or landlord about the business without the owner's written permission.
4. Return or destruction
If you stop pursuing the opportunity, or if the owner asks, you will delete or destroy the confidential information you hold.
5. Exceptions
These terms don't cover information that is public through no fault of yours, that you already lawfully had, or that you must disclose by law (with prompt notice to the owner where allowed).
6. Term
These obligations last two years from your access request.
Owners may require their own NDA in addition to these terms before sharing further information.
